Oil & Gas Sector Experience
Gas sector planning, gas policy and regulatory support - we have advised the Federal Government on the legal, regulatory and policy aspects of commercializing Nigeria's natural gas resources. We have also been invited to participate in the drafting of Nigeria's first gas specific legislation.
Gas production, development, transmission and distribution:
Advising the NNPC during the proposed privatisation of the Nigerian Gas Company.
Conducted a comprehensive due diligence exercise including the physical verification of the fixed assets of the Nigerian Gas Company, review of over 150 contracts including EPC, service provision, insurance and pension fund, general commercial, employment and other types of agreements. Prepared divestiture documents for the sale of government's share in the company, advised on relevant Nigerian law and regulations.
Providing project definition advice to the developers of the West African Gas Pipeline Project.
Advising Solgas Nigeria Limited, a leading resuscitation consortium for Ajaokuta Steel Company Limited on all issues relating to gas - power development and restructuring.
Representing Tenneco Oil in the disposal of its Nigerian oil and gas assets to British Gas.
Worked with the team of foreign lawyers in a due diligence exercise relating to the financing of an independent power project.
In collaboration with lawyers in a UK law firm, acting for and advising a group of International
Banks on aspects of the financing of the Eleme Petrochemical Plant.
Advising on several acquisitions and mergers, involving oil service companies, including the acquisition by Baker Hughes of a minority interest in a Nigerian Oil Service Company.
Advising the Norwegian Exploration and Production Company, Statoil, on the Production Sharing Contracts with the Nigerian National Petroleum Corporation (NNPC).
Acting as Solicitor to Smith International INC. in the implementation in Nigeria of the global assets transfer between two oil industry service conglomerates. Parties - Smith International INC. and Halliburton Inc.
Advising TOTAL Exploration Nigeria Ltd. on the legal aspects of proposed US $48 Million acquisition by TOTAL of the interests of Ashland Nigeria
Exploration Unlimited in OPLS 90, 98, 118 & 225.
Acting as Solicitors to TEXACO Nigeria Outershelf Ltd. (Farminee) in the full establishment of a new oil exploration and production company for TEXACO, from incorporation to commencement of business, including all investment approvals, for the purpose of the acquisition by TEXACO of the 39% equity interest in OPLs 213, 217 & 218 held by BP/Statoil Alliance.
Advising Niger Delta Petroleum Resources Ltd. in the acquisition by Niger Delta of Interests in marginal fields (OMLs 53 & 54) held by NNPC/CHEVRON Joint Venture.
Advising TOTAL Upstream Nigeria Ltd. in the acquisition by TOTAL of 24% equity interest in the deep offshore field (OPL 246) granted to South Atlantic Petroleum Ltd.
Acting as Solicitors to Niger Delta Exploration & Petroleum Plc. in the unincorporated Joint Venture of Joint Exploration & Production Plc; Niger Delta Petroleum Resources Ltd., Jerez Energy (Barbados) Inc. and others.
Advising TOTAL Upstream Nigeria Ltd in the unincorporated joint venture for the joint prospecting for and exploitation of the oil deposits in the offshore concession (OPL 246).
Advising OCEANEERING International/Solus Schall (Nig) Ltd. (Oil Industry Service Company) in a US $50m and N140 million transactions, involving review of and general advisory work on various aspects of a contract for the provision of maintenance support vessels, diving and inspection, maintenance and repairs.
Acting as Solicitors to the promoters/investors of TOTAL S.A of France (and TEXACO Inc.) in the full establishment of three (3) new oil exploration and production companies from incorporation to commencement of business, including all investment approvals.
Advising the Addax and Oryx Group in its applications for Nigerian deepwater acreages.

Acting as Solicitor to Eterna Oil and Gas Plc. Participated in negotiations for the acquisition of shares held by Shell International in National Oil and Chemical Marketing Company.
Jointly responsible for advising Petrochem International Limited in respect of the transaction for the acquisition of Federal Government/Shell International shares in National Oil and Chemical Marketing Company Limited.
