Biography
Lawrence is the founding partner who heads the Banking, Finance & Capital Markets Practice Groups. He has extensive experience in Banking & Finance, Capital Markets, Aviation, Shipping and Energy. He is qualified to practice law in three jurisdictions and has a strong multi-disciplinary background in law, economics, management and fiscal policy. He represents major state owned and private oil and gas production, marketing and distribution companies in a range of matters. He acted for Dubri Oil in the first marginal field acquisition in Nigeria and advised on acquisition of the first IPP at Egbin. He also advises clients from around the world on foreign direct investment in Nigeria and on related tax issues. He advised two investment banks on their external restructuring and eventual listing on the Nigerian Stock Exchange. He advised a syndicate of banks on an US$800 million reserved based lending facility in respect of the acquisition of participating interest in an OML. He advised a syndicate of banks on a US$141 million facility in respect of the acquisition of a power plant.
He was invited to participate in the Presidential Policy Advisory Committee where he was a member of the subcommittee on finance and investment. He wrote the committee’s policy paper on foreign investment and privatization. He has been involved in project finance, banking and capital markets transactions for several years.

Theo is the founding partner who heads the firm’s Taxation, Intellectual Property, Corporate/Commercial and Company Secretarial Practice Groups. He is widely acknowledged as one of Nigeria’s leading tax practitioners. He is a fellow of the Chartered Institute of Taxation of Nigeria and was the Vice Chair of the Tax Law Review Committee of the Institute. He has drafted several shareholders and joint venture agreements and regularly advises on Nigerian companies’ income and petroleum profits tax issues, corporate structures, shareholder rights and other corporate governance issues. He advised on the acquisition by the Coca-Cola Company of 40% equity in CHI Limited, a leading producer of juice and value-added dairy brands in Nigeria.
He has provided advice on privatization options and strategies for clients, reviewed business process and procedures for operating in the petroleum sector, led several due diligence reviews and advised on environmental matters and compensation issues after an oil spill.

Dapo is the firm’s Managing Partner and heads the Dispute Resolution Practice.
He was admitted to practice law in Nigeria in 1988 and in England and Wales in 2009. He has over 36 years’ experience in commercial litigation and arbitration and has acted as counsel and arbitrator in several international and domestic arbitral proceedings for over three decades. He has practised extensively before all the superior courts of record in Nigeria.
His practice is focused on the resolution of complex disputes and rendering advice to clients from around the world on matters relating to Oil and Gas, Maritime, Tax, Transportation, Construction, FMCG, Mining and Banking and Finance matters. He also renders advisory services to international financial and lending institutions, commercial and merchant banks, leasing companies, insurance companies, investment companies and other financial institutions.
Dapo was appointed a Notary Public in 2006, was elevated to the prestigious rank of a Senior Advocate of Nigeria in 2020 and was appointed as a Delegate to the ICC Commission on Arbitration and ADR in 2022.

C0-counsel in an investor-state arbitration for claims of expropriation by a multinational aluminium smelting company against the Federal Government of Nigeria.
Counsel to 4 major upstream companies in a US$3.5 billion arbitration claim against the national oil corporation over the consolidation of oil prospecting licenses, cost recovery, calculation of Tax Oil and Investment Tax Credits.

Sina is a Partner in the firm’s Energy, Environment, and Corporate/Commercial Practice Groups. He has advised on structuring joint venture arrangements for oil exploration and acquisition of upstream assets. He has also advised, drafted and negotiated various upstream agreements including drilling contracts, oil terminal agreements and crude lifting agreements.
He has been involved in advising governments, multinational oil companies and project developers on diverse contractual regulatory and policy issues. He was involved in the design of a HSE regulatory compendium for major oil companies. He has advised several clients on gas sales and transportation issues, establishment of gas processing facilities and on environmental obligations associated with project development. He has drafted and negotiated engineering, procurement & construction contracts for the design and construction and installation of gas processing facilities.
He was involved in the development of the National Gas Supply and Pricing Policy and the subsequent Regulations developed to implement the Policy. Sina played a key role in developing and drafting the template gas supply and gas transportation agreements which underpin domestic supply of gas in Nigeria and detail the commercial arrangements and risk allocation among suppliers, purchasers, transporters and shippers of gas.
He has trained senior executives of power generation companies on gas utilization, offtake and transportation contracts. He advised a syndicate of lenders on an $800 million refinancing of an oil mining lease and a multi-national mobile network operator in respect of its proposed $200 million financing for the purchase of network infrastructure. He has also advised a lender on a $50.6 million ECA loan for on-lending to sponsors of a real estate development project in Lagos, and a gas processor on its gas purchase, processing and supply project.

He has considerable experience advising on M & A transactions. He recently acted for a holding company in a merger by way of external restructuring with four of its subsidiaries. He was part of the team that advised a beverage company on its US$ 300 million acquisition of a minority stake in another beverage company.
He recently led the team that advised an investment company on its partial divestment from one of Nigeria’s leading switching and payments companies. He regularly advises on the taxation of upstream activity in the Nigerian oil & gas sector and has advised extensively on the taxation of Production Sharing Contracts. He is part of the team that advised a number of PSC Contractors-consortiums on various disputes with the Nigerian national oil company arising out of the operation of onshore, shallow and deep offshore PSCs. He has advised on the applicable and proposed fiscal regimes for the domestic gas sector in Nigeria and on the effects of the Petroleum Industry Governance Bill.
He advises foreign clients on tax and exchange control issues which impact inward investment, repatriation of profits and capital, operation of employee stock participation plans and other employee benefit schemes.

He has significant dispute resolution experience having represented many clients in commercial, employment and land disputes before high courts, appellate courts, and arbitral tribunals. He also routinely advises and represents large multinational oil and gas companies in tax disputes at the Tax Appeal Tribunal, Federal High Court, and appellate courts.
Ugonna also acts for corporate clients (both multinational and local) in high stakes investigations by governments, government agencies and regulators in connection with matters pertaining to internal and external financial fraud, allegations of corruption and violation of anti-money laundering laws, alleged violations of competition / antitrust laws, alleged tax evasion and other alleged violations of federal and state laws.

Rebecca Ebokpo is a Senior Associate in the regulatory compliance, international trade, corporate and commercial, and dispute resolution practice groups of ǼLEX. She has extensive experience in advising on foreign direct investment and foreign portfolio investment in Nigeria. Rebecca also advises clients on immigration formalities, due diligence and corporate restructuring. She is an expert in providing legal opinions on complex corporate governance, restructuring and regulatory issues. Rebecca represents litigants in various courts throughout Nigeria. She is a TRACE and NCMI certified compliance officer with expertise in anti-money laundering, anti-bribery, and corruption matters.
She was part of the team that advised a joint venture arrangement between the Nigerian government and a foreign satellite provider. She also led the team that advised one of the major shareholders in the acquisition of a pension fund administrator in Nigeria.
