Biography
Lawrence is the founding partner who heads the Banking, Finance & Capital Markets Practice Groups. He has extensive experience in Banking & Finance, Capital Markets, Aviation, Shipping and Energy. He is qualified to practice law in three jurisdictions and has a strong multi-disciplinary background in law, economics, management and fiscal policy. He represents major state owned and private oil and gas production, marketing and distribution companies in a range of matters. He acted for Dubri Oil in the first marginal field acquisition in Nigeria and advised on acquisition of the first IPP at Egbin. He also advises clients from around the world on foreign direct investment in Nigeria and on related tax issues. He advised two investment banks on their external restructuring and eventual listing on the Nigerian Stock Exchange. He advised a syndicate of banks on an US$800 million reserved based lending facility in respect of the acquisition of participating interest in an OML. He advised a syndicate of banks on a US$141 million facility in respect of the acquisition of a power plant.
He was invited to participate in the Presidential Policy Advisory Committee where he was a member of the subcommittee on finance and investment. He wrote the committee’s policy paper on foreign investment and privatization. He has been involved in project finance, banking and capital markets transactions for several years.

He is widely acknowledged as one of Nigeria’s leading tax practitioners. He is a fellow of the Chartered Institute of Taxation of Nigeria and was the Vice Chair of the Tax Law Review Committee of the Institute. He has advised on structuring joint venture arrangements for oil exploration and acquisition of upstream assets. He has also advised, drafted and negotiated various upstream agreements including drilling contracts, oil terminal agreements and crude lifting agreements.
He has been involved in advising governments, multinational oil companies and project developers on diverse contractual regulatory and policy issues. He was involved in the design of a HSE regulatory compendium for major oil companies. He has advised several clients on gas sales and transportation issues, establishment of gas processing facilities and on environmental obligations associated with project development. He has drafted and negotiated engineering, procurement & construction contracts for the design and construction and installation of gas processing facilities.
He was involved in the development of the National Gas Supply and Pricing Policy and the subsequent Regulations developed to implement the Policy. Sina played a key role in developing and drafting the template gas supply and gas transportation agreements which underpin domestic supply of gas in Nigeria and detail the commercial arrangements and risk allocation among suppliers, purchasers, transporters and shippers of gas.
He has trained senior executives of power generation companies on gas utilization, offtake and transportation contracts. He advised a syndicate of lenders on an $800 million refinancing of an oil mining lease and a multi-national mobile network operator in respect of its proposed $200 million financing for the purchase of network infrastructure. He has also advised a lender on a $50.6 million ECA loan for on-lending to sponsors of a real estate development project in Lagos, and a gas processor on its gas purchase, processing and supply project.

In this respect, Jibrin has been involved in the following matters:
- advised an IOC on the tax-structuring of an acquisition of an oil field interest worth over US$1.2 billion, including the availability of a step up in capital allowance basis in connection with the acquisition;
- provided tax advice to a global cloud services provider in respect of its expansion into Nigeria in light of the introduction of digital ‘permanent establishment’;
- provided tax-structuring advice to a South African-financial services group — Africa’s biggest lender — in respect of its securities lending transactions in Nigeria;
- advised an IOC on the tax implication of an oil field adjustment worth approximately US$1.1 billion;
- advised a global social media company on the Nigerian tax implications of its cross-border payments platform;
- provided tax-structuring advice to a European international airline in respect of the taxation of its income from outbound freight in Nigeria, and successfully represented the airline in claiming a tax exemption from its outbound freight income based on a Double Tax Treaty;
- provided tax-structuring advice to an indigenous oil company on its proposed acquisition of interests in two oil blocs in Ghana;
- currently providing tax-structuring advice to Africa’s largest privately-owned investment management company in respect of its unit trust investment scheme in Nigeria; and
- advising several multinational companies on the tax, securities law, and exchange control implications of their employee share compensation plans in Nigeria.
Jibrin routinely represents several MNEs and local companies in tax disputes regarding all aspects of the Nigerian tax regime before the Tax Appeal Tribunals and superior courts of records in Nigeria. He is a key member of the team that successfully handled tax disputes involving a cumulative sum of US$4billion on behalf of a number of IOCs (Shell, Total, Exxon Mobil, Chevron, and CNOOC) involving various upstream tax issues. Some of which include the deductibility of expenses (including related-party interest expense and sole costs) under the JV and the PSC regimes, and the taxation of capital and investment allowances and balancing charges. Jibrin’s tax litigation matters include:
- representing the OML 130 contractor parties at the Federal High Court in a landmark claim for tax refundof US$1.8 billion jointly and severally from the NNPC and the FIRS;
- representing the Michelin group at the Tax Appeal Tribunal in a ground-breaking transfer pricing dispute against the FIRS worth N1 billion;
- representing Chevron in an appeal by the FIRS against the TaxAppealTribunal’s discharge of petroleum profits tax assessments in the combined sum of US$800 million regarding Chevron’s gas utilisation projects.
Jibrin is also key member of the firm’s Banking and Finance practice focusing on the e-payment industry. He is part of the team advising a leading global card scheme company on its Nigerian operations.
